Draft notice: these Terms of Service are a working draft and must be reviewed by qualified legal counsel before publication. Bracketed items, such as [GOVERNING LAW AND VENUE], are placeholders to be completed.
Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of Rookly, an early-warning intelligence service for B2B account health and client retention, provided by Rookly Inc. ("Rookly", "we", or "us"), including related websites, applications, and features (the "Service"). By creating an account, connecting a data source, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent (the "Customer"). If you do not agree, do not use the Service.
Accounts and access
You must provide accurate registration information and keep it up to date. You are responsible for activity under your account, for keeping credentials confidential, and for the actions of the users you invite or authorize. Notify us promptly through /contact if you suspect unauthorized access. If you use the Service for an organization, you represent that you have authority to bind that organization to these Terms.
Customer responsibilities
You are responsible for your use of the Service and for the information you provide or connect. You must have the rights, notices, permissions, and legal basis required to provide that information to Rookly and to have it analyzed for account-health, sentiment, and emotional-signal insights. You are responsible for choosing which sources and integrations to connect, the permissions you grant, and for reviewing and acting on the Service's outputs using your own judgment. You must comply with all laws and agreements that apply to your use of customer and account information.
Subscriptions, fees, and billing
Access to some or all features may require a paid subscription or may be offered under an early-access or trial arrangement. Plans, fees, billing cycles, taxes, renewal, cancellation, and refund terms are as described in the applicable order, plan description, or written agreement: [PLAN, FEE, AND BILLING TERMS TO BE COMPLETED]. You are responsible for any applicable taxes and for providing valid payment details where payment is required. Features offered in early access, trial, or preview may be incomplete and may change or end.
Customer data and privacy
You retain your rights in the customer, account, and relationship information you provide or connect ("Customer Data"). You grant Rookly a limited right to host, process, and analyze Customer Data to provide, secure, support, and improve the Service as described in these Terms and our Privacy Policy. Our handling of personal information is described in the Privacy Policy at /legal/privacy-policy, and our approach to permissions and careful use is described at /legal/responsibility. If your use requires a separate data processing agreement, it is: [DATA PROCESSING TERMS, IF ANY, TO BE COMPLETED].
Account-health insights and alerts
Rookly's account-health indicators, sentiment and emotional-signal analyses, alerts, and retention insights are informational decision-support. They are generated from available information, may be incomplete, delayed, or mistaken, and are not guarantees of future customer behavior. Rookly does not guarantee that churn will be prevented, that any risk will be detected, or that any relationship will be retained. Outputs are not legal, financial, employment, or other professional advice, and you should not rely on them as the sole basis for significant decisions. You remain responsible for decisions and communications made using the Service.
Acceptable use
You agree not to:
- Use the Service unlawfully or to process information you are not authorized to use.
- Access, probe, or interfere with the Service or connected services, or bypass security or access controls.
- Upload malware, or submit secrets, credentials, or sensitive personal information that is not necessary and lawful for your intended use.
- Reverse engineer, scrape, resell, or sublicense the Service, except as permitted by law or in writing by us.
- Use outputs to unlawfully discriminate against, harass, or harm any person.
- Use the Service to build a competing product or to overload or disrupt it.
Intellectual property
Rookly and its licensors own the Service, including its software, models, interfaces, documentation, and branding, and all related intellectual property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. You retain your rights in Customer Data. If you send us feedback or suggestions, you grant us a non-exclusive right to use them without obligation to you.
Third-party integrations
The Service may let you connect third-party platforms, MCP servers, extensions, and analysis providers. These are separate from Rookly and are governed by their own terms and privacy practices. Rookly is not responsible for third-party services, their availability, or how they handle information. When you connect a third-party service, you authorize Rookly to access and exchange information with it as needed for the features you use. You can disconnect a source or revoke permissions when that control is available.
Service availability and changes
We aim to provide a reliable Service but do not promise that it will be uninterrupted or error-free. The Service may be unavailable because of maintenance, third-party dependencies, or events beyond our control. We may add, change, or discontinue features, and will give notice of material changes where appropriate. Any service-level commitments apply only if stated in a written agreement: [SERVICE LEVEL TERMS, IF ANY, TO BE COMPLETED].
Suspension and termination
You may stop using the Service at any time and may request account closure through /contact, subject to any commitments in an applicable order or agreement. We may suspend or terminate access if you breach these Terms, if required by law, or if needed to protect users, connected services, or the Service, and where practical we will provide notice. On termination, your right to use the Service ends. Provisions that by their nature should survive, including those on intellectual property, disclaimers, liability limits, indemnification, and governing law, will survive. Treatment and return or deletion of Customer Data after termination follows the Privacy Policy and any applicable agreement.
Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.
Limitation of liability
To the maximum extent permitted by law, Rookly and its affiliates, personnel, and licensors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, customers, or data, arising from or related to the Service, even if advised of the possibility. Our total liability for claims relating to the Service is limited to: [LIABILITY CAP TO BE COMPLETED]. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
Indemnification
To the extent permitted by law, you agree to defend and indemnify Rookly and its affiliates and personnel against claims, losses, and expenses, including reasonable legal fees, arising from Customer Data you provide, your use of the Service in breach of these Terms or applicable law, or your decisions made using the Service. The specific scope and procedure for indemnification is: [INDEMNIFICATION TERMS TO BE COMPLETED BY COUNSEL].
Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW]. Disputes will be resolved in or through [VENUE OR DISPUTE RESOLUTION PROCESS], except where applicable law requires otherwise.
Changes to these terms
We may update these Terms as Rookly changes. We will post the revised version here and update the date above. If a change is material, we will provide additional notice where required by law. Continued use of the Service after changes take effect means you accept the updated Terms.
